Please carefully read the following Terms of Service Agreement before accessing or using this website.

Definitions

“Approvalwise™,” “We,” and “Us” refer to Approvalwise™ Inc., as well as our affiliates, directors, subsidiaries, partners, contractors, licensors, officers, agents, and employees.

“Content” refers to content featured or displayed through the Website, including without limitation code, text, guides, data, articles, images, photographs, graphics, software, applications, packages, designs, features, and other materials that are available on the Website or otherwise available through the Services.

The “Agreement” refers collectively to all the terms, conditions, notices contained or referenced in this document (the “Terms of Service” or the “Terms”) and all other operating rules, policies, and procedures that Approvalwise™ may publish from time to time on the Website.

The “Services” refer to the applications, software, products, services and Content provided by Approvalwise™.

“The User,” “You,” and “Your” refer to the individual person, company, or organization that has visited or is using the Website or Services.

The “Website” refers to all Content and Services provided by Approvalwise™ at or through https://verify.approvalwise.com.

Terms of Service

This Agreement governs your use of the Website and Services. By using the Website and Services, you agree to this Agreement.

Changes to the Website and Services

We reserve the right at any time and from time to time to modify the Website and Services, without notice, at our sole discretion.

We reserve the right at any time to discontinue, temporarily or permanently, the Website and Services, without notice, at our sole discretion.

Limited Scope of Timestamp Verification

Our Website and Services allow you to verify and only verify whether a document is an unaltered copy of a document timestamped by Approvalwise™ Manager.

No File Upload

Your file is not sent to Approvalwise™, and at no time do we have access to it. Your file is processed locally in your browser, and only a cryptographic signature is submitted to us so we can verify if we have timestamped the document on the public blockchain.

Intellectual Property Notice

Approvalwise™ and our licensors, vendors, agents retain ownership of all intellectual property rights, titles, and interests of any kind in and related to the Website and Services. We reserve all rights not expressly granted to you under this Agreement or by law.

Subject to your compliance with this Agreement, we grant you a non-exclusive, individual, and non-transferable license solely for accessing the Website and Services.

You are not allowed to copy, modify, create derivative works based upon, distribute, sell, lease, or sublicense any aspect of our Website or Services. Additionally, you may not engage in reverse engineering or decompiling any aspect of our Website or Services, attempt such actions, or help others in doing so.

Nothing in this Agreement gives you the right to use the Approvalwise™ name or any of the Approvalwise™’s trademarks, logos, domain names, or other distinctive brand features.

Any feedback, comments, or suggestions you may provide regarding the Website and Services is entirely voluntary, and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you.

Restrictions on Your Use of our Website and Services

When using the Website and Services, you must comply with this Agreement and all applicable laws, rules, and regulations, and you must only use the services for lawful, authorized, and acceptable purposes.

You may not do, try to do, or encourage or help others to do any of the following while accessing the Website or using the Services:

  • Harm Approvalwise™. Among other things, this includes trying to gain access to any non-public area of the Website or Services; probing the vulnerability of our systems; breaching or circumventing any security or authentication measures; hacking, tampering with or otherwise attacking our systems; transmitting viruses or other malicious code to our Website or Services; interfering with access to our Website or Services; abusing or defrauding us; scraping us; copying our Website or Services; removing or altering any copyright, trademark, or proprietary notice on the Website; using our intellectual property without permission, and misusing our reporting or customer service mechanisms.
  • Harm Others. Among other things, this includes infringing on the rights and interests of other users and third parties—including but not limited to their privacy, intellectual property, proprietary, reputational, or other rights and interests—through the Website or Services.
  • Engage in Illegal Activities. This includes using the Website or Services to plan or commit any crime or do anything else that is illegal.

Approvalwise™’s Discretion

We reserve the right to suspend or terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. We further reserve the right to refuse service to anyone for any reason at any time.

We also reserve the right to access, read, preserve, and disclose any information arising from or relating to your acts in connection with accessing or using the Website and Services as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process, or governmental request, (ii) enforce the Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property, or safety of our users and the public.

Release and Indemnification

If you have a dispute with one or more Users, you agree to release Approvalwise™ from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

You agree to indemnify us for, and hold us harmless from and against, any and all claims, liabilities, damages, costs, losses, and expenses, including but not limited to legal and accounting fees, arising from your acts in connection with accessing or using the Website and Services, including but not limited to your violation of this Agreement.

Disclaimer of Warranties

Approvalwise™ provides the Website and Services “as is” and “as available,” without warranty of any kind. Without limiting this, we expressly disclaim all warranties, whether express, implied, or statutory, regarding the Website and Services, including without limitation any warranty of merchantability, fitness for a particular purpose, title, security, accuracy, non-infringement, and any warranty arising out of the course of dealing or usage of trade.

Without limiting the foregoing, Approvalwise™ does not warrant that the Website and Services will meet your requirements; that the Website and Services will be uninterrupted, timely, secure, or error-free; that the information provided through the Website and Services is accurate, reliable, correct, useful, complete, or up-to-date; that any defects or errors will be corrected; that the Website and Services will be available at any particular time or location; or that the Website and Services are free of viruses or other harmful components. You assume full responsibility and risk of loss resulting from your access and use of the Website and Services, and from your reliance on any information obtained through the Website and Services.

The laws of certain jurisdictions do not allow limitations on implied warranties. To the extent such warranties cannot be disclaimed, we limit the duration and remedies of such warranties to the full extent permissible under applicable laws.

Limitations of Liability

We do not exclude or limit our liability to you where it would be illegal to do so. In jurisdictions where the below types of exclusions are not allowed, we are responsible to you only for losses and damages that are a reasonably foreseeable result of our failure to use reasonable care and skill or our material breach of our contract with you.

In jurisdictions where exclusions or limitations of liability are allowed, you understand and agree that Approvalwise™ will not be liable to you or any third party for any loss of profits, revenues, savings, business opportunity, use, goodwill, or data, or for any incidental, indirect, special, consequential, exemplary, or punitive damages, however arising, that result from:

  • your use or inability to use the Website and the Services;
  • any modification, price change, suspension, or discontinuance of the Website and the Services;
  • the Website and the Services generally or the software or systems that make the Website and the Services available;
  • unauthorized access to or alterations of your transmissions or data;
  • any information obtained from the Website or the Services;
  • conduct or content of any user or third party on the Website and the Services;
  • any other user interactions that you input or receive through your use of the Website and the Services; or
  • any other matter relating to the Website and the Services.

Our liability is limited whether or not we have been informed of the possibility of such damages, and even if a remedy set forth in this Agreement is found to have failed of its essential purpose. Furthermore, we will have no liability for any failure or delay due to matters beyond our control. The exclusions of and limitations of liability set forth above are fundamental elements of the basis of the bargain between Approvalwise™ and you.

Settling Disputes

Any dispute or claim relating in any way to your use of the Website or the Services, or arising out of or in connection with this Agreement, or in respect of any legal relationship associated with or derived from this Agreement, will be finally resolved by binding arbitration, under the Arbitration Rules of the ADR Institute of Canada (ADRIC), Inc., rather than in court, except that (1) you may assert claims in small claims court if your claims qualify and (2) if an applicable law in your province of residence gives you the right to resolve your dispute or claim before the courts of that province notwithstanding your agreement to arbitration, you may elect either to do so or proceed in arbitration.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court, and must follow the terms of the Agreement as a court would.

To commence an arbitration, you must send a letter requesting arbitration and describing your claim to us at [email protected], as well as send a notice of request to arbitrate to ADRIC at [email protected]. Payment of all filing, administration, and arbitrator fees will be governed by the ADRIC's rules, available at https://adric.ca/. You may choose to have the arbitration conducted by telephone or videoconference, based on written submissions. You may also choose to have the arbitration conducted in person, in which case the seat of arbitration will be in Toronto, Ontario, Canada. The language of the arbitration will be English.

We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial. We also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

Applicable Law and Jurisdiction

By using the Website or Services, you agree that this Agreement between you and Approvalwise™, along with any access to or use of the Website or the Services, are governed by the laws of the province of Ontario, Canada, without regard to principles of conflict of laws, unless applicable law dictates otherwise.

Waiver and Severability

The failure of Approvalwise™ to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

Survival

All provisions of this Agreement which, by their nature, should survive termination will survive termination — including, without limitation: ownership provisions, disclaimer of warranties, release and indemnity, limitations of liability, and dispute settlement. Our rights under this Agreement will survive any termination of this Agreement.

Non-Assignability

Approvalwise™ may assign or delegate this Agreement, in whole or in part, to any person or entity at any time with or without your consent. You may not assign or delegate any rights or obligations under this Agreement without our prior written consent, and any unauthorized assignment and delegation by you is void.

Entire Agreement

This Agreement is the entire and exclusive agreement between Approvalwise™ and you regarding the Website and Services and supersede and replace any prior agreements between Approvalwise™ and you regarding the Website and Services.

We may revise these Terms from time to time, and the most current version will always be at https://verify.approvalwise.com. By continuing to access or use the Website and Services after those revisions become effective, you agree to be bound by the revised Terms.
